Here is the step plan to set-up your own fund in Luxembourg
The first step includes the creation of a General Partner (which remains optional should the promoters already have a similar structure at its disposal).
The incorporation generally takes 1 week after completion of the onboarding/KYC.
The second step consists of the set-up of a Special Limited Partnership as an Alternative Investment Fund which will be able to invest in different types of assets. These assets can be selected within any type of sector such as Private Equity, Real Estate, Infrastructure, Hedge Fund Crypto, Art, Green Energy, and the fund can follow any type of dedicated strategy (distressed, growth, leverage, etc…)
The Fund can be incorporated within two weeks which enables promoters to start their respective activities within a short period.
During these two weeks, Creatrust will draft the subscription form which will comprise the details of the investors and the amount of the subscription.
As well as the term sheet applicable to structure, it includes all the terms and conditions of the fund, its strategy, the fees payable to the AIFM, the description of the eligible assets, currency, lock up….
Within three weeks the structure may be up and running in order to welcome investors who can subscribe Units of the Fund via a subscription form, either by completing it themselves or in nominee via their own bank (or in Dvp via Fundsettle Euroclear).
The Fund can issue an unlimited number of Units with ISIN number if necessary.
